Hay & Kilner advises on acquisition of NEOS Protect

Hay & Kilner has advised the shareholders of NEOS Protect Holdings Limited on the successful acquisition of the business by Shropshire-based investment group Sorvio Group Limited.

Gateshead-headquartered NEOS Protect is a leading UK manufacturer of specialist accredited security, fire and Passivhaus doors for communal and multi-occupancy buildings. Since its establishment in 2011, the company has built a strong reputation as a market leader in the sector.

The acquisition provides a platform for NEOS Protect’s continued growth and long-term expansion, while enabling a smooth leadership transition and delivering the succession plans of shareholders Steven Thomas and Paul Sampson. Steven Thomas will retire from the business following the transaction.

All employees will be retained as part of the deal. Paul Sampson will continue as Director, while Kirsty Thomas has been appointed Managing Director.

Hay & Kilner’s Corporate Team advised NEOS Protect and its shareholders on the transaction. The team was led by Partner Mark Adams, supported by Ben Jackson and Lydia Sevenoaks.

Mark Adams, Corporate Partner at Hay & Kilner, said: “NEOS Protect is a highly regarded and well-established business, and we were delighted to support Steven, Paul and the wider team on this important transaction. The acquisition provides a strong platform for the company’s next phase of growth while ensuring continuity for its people, leadership and customers. It has been a pleasure to work closely with the shareholders on their succession plans and help secure NEOS Protect’s long-term future.”

Corporate finance advice to the shareholders of NEOS Protect was provided by Clive Owen LLP, led by Corporate Finance Partner Michael Cantwell with support from Corporate Finance Executive Joe Vera-Sanso and Tax Partner Stephen Harris.

Michael Cantwell said: “We are delighted to have supported this successful strategic transaction, helping Steven and Paul deliver their succession plans and position the business strongly for continued growth.”

Sorvio Group was advised by Azets and Cooper Burnett.
